Corporate governance system
We strive to improve transparency, ensure independence, and accelerate decision-making on management issues, including ensuring compliance. Specifically, we are working to select directors who have a wealth of experience and knowledge in various fields, excellent personality, and extensive experience and knowledge related to management, and to build a highly transparent and independent corporate governance system.
Compliance
Based on the “Showa Shinku Group Corporate Ethics Code of Conduct”, which serves as the basis for decisions and actions by all officers and employees, we promote compliance under the Compliance Subcommittee of the Risk and Compliance Committee that oversees all aspects of compliance. Specifically, we are implementing training programs to foster a culture of corporate ethics and compliance, and we are working to prevent misconduct by establishing the Showa Shinku hotline (whistleblower system).
Risk management
Risks existing inside and outside the company are broadly defined into management risks, financial and credit risks, information and information system risks, compliance risks, operational risks, and disaster risks. The Risk Control Subcommittee of the Risk and Compliance Committee, which oversees the overall risk management, discusses and determines important matters related to risks that should be managed as a corporate group.
Information management
In addition to complying with laws and regulations related to information management and information security, Showa Shinku has established related rules, including “Personal Information Management Rules” and “Information Security Management Rules” with regard to the handling of information assets including personal information. In addition, we continuously provide education and awareness-raising to improve employee information literacy, and take technical precautions against information leakage and unauthorized use.

Basic Procurement Policy
The Showa Shinku Group believes that in order to continue with business, it is important for the entire supply chain to engage in CSR activities, such as taking the society and environment into full consideration, and has established the Showa Shinku Group Basic Procurement Policy, which consists of five items, namely (1) global environmental conservation; (2) legal compliance, anti-corruption, and elimination of anti-social forces; (3) fair and sincere transactions; (4) respect for basic human rights and consideration for occupational health and safety; and (5) maintenance and improvement of quality and ensuring safety. In order to promote CSR procurement in cooperation with procurement partners, we communicate the information to suppliers and ask for their understanding.
